Software Contract

Software development is a professional and specialized collaboration
that requires full transparency between the client and developer. This
Software Contract provides a clear and reliable framework, outlining all
responsibilities, timeline, payments, intellectual property rights, and legal

Contract Sections

1. Purpose of the Contract

This agreement covers the design, development, testing, and delivery of software based on the client’s requirements. Services may include:

  • Requirement analysis and documentation

  • UI/UX software design

  • Front-end & back-end development

  • Web, desktop, or mobile application development

  • Quality assurance and testing

  • Final delivery and technical documentation

2. Project Timeline

Project stages:

  1. Requirement analysis and documentation

  2. UI/UX design

  3. Software development

  4. Testing and bug fixing

  5. Beta version delivery and feedback

  6. Final revisions

  7. Delivery and training

3. Developer Responsibilities

The Developer agrees to:

  • Follow technical and quality standards

  • Provide beta versions for feedback

  • Maintain confidentiality of client information

  • Fix software issues during the warranty period

  • Provide documentation and necessary training

4. Client Responsibilities

The Client agrees to:

  • Provide project requirements and information

  • Approve or give feedback on beta versions

  • Make payments according to the schedule

  • Cooperate to advance the project

5. Payment Terms

Payments are milestone-based:

  • Initial deposit

  • After delivery of initial version

  • After testing and approval of beta version

  • Final payment upon full delivery

Additional features or out-of-scope changes are charged separately.

6. Ownership & Copyright

Ownership of software, including source code, designs, and documentation, is transferred to the client upon full payment. Intellectual property rights are clearly defined in the contract.

7. Support & Maintenance

After delivery, the Developer provides limited free support, including:

  • Bug fixes

  • Technical assistance

  • Minor revisions

Long-term support or feature development will incur additional costs.

8. Termination Clause

The contract may be terminated under the following conditions:

  • Failure of either party to meet obligations

  • Excessive delay

  • Mutual agreement

Costs incurred up to the termination point will be calculated and settled.

9. Dispute Resolution

Disputes will first be addressed through negotiation, and if necessary, legal authorities will be involved
